Magntc Terms of Service

These Terms are an agreement between you and WEU Innovations Pvt Ltd, a company incorporated in India ("WEU", "we", "us"), which provides Magntc. They apply to the Magntc apps, the website at magntc.com and every related service (together, "Magntc").

The short version

This summary is not a substitute for the Terms below, which govern.

• You must be 18 or older. One account per person, with true information.
• You are responsible for what you do — on Magntc, and when you meet someone because of it.
• We do not run criminal background checks on members. Take care, especially when meeting.
• We are a platform, not a party to your interactions. We do not control what members say or do, and we are not responsible for it.
• We cooperate with law enforcement when the law requires it.
• We can remove content and close accounts that break these Terms or our Guidelines.
• Magntc may change — its features, these Terms, the Privacy Policy and how Magntc is paid for, including ads and paid features. We tell you about material changes first.
• Our liability is limited as far as the law allows. Some rights cannot be taken from you, and nothing here tries to.

1. Accepting these Terms

1.1 By creating an account or using Magntc you accept these Terms, the Privacy Policy, the Community Guidelines, the Safety page and the Child Safety Standards, which form part of this agreement. If you do not accept them, do not use Magntc.

1.2 Magntc is for individuals. You may not use it on behalf of a business or anyone else.

2. Who may use Magntc

2.1 You must be at least 18 years old, or the age of majority where you live if that is higher. Magntc is not for minors, and we remove any account we believe belongs to one.

2.2 Magntc is offered in India only. It is listed in the app stores in India alone, and it is not offered, advertised or directed to people in any other country. If you are outside India you may not use Magntc, and we may remove an account we believe is outside the countries we serve. We may add countries later; when we do, we will meet the requirements that apply there first.

2.3 You may not use Magntc if you have been convicted of a sexual offence or an offence involving violence, or are subject to any sex-offender registration requirement; if we have previously removed your account; or if the law prohibits you from receiving the service.

2.4 You may hold one account. Everything you tell us — including your age and your photos — must be true, accurate and current.

2.5 You are responsible for keeping your device and sign-in secure, and for everything done through your account.

3. Your responsibility

3.1 You are solely responsible for your conduct and your interactions with other members, online and offline, including any meeting you arrange. WEU is not a party to any relationship, communication, meeting or transaction between members.

3.2 We do not conduct criminal background checks or identity screening of members, and we do not verify what members say about themselves, beyond the specific checks the app describes — which confirm only what they say they confirm. A verification badge is not an endorsement, a background check, or a guarantee of anyone's identity, character or safety.

3.3 Read and follow the Safety guidance, use your own judgement, and take every reasonable precaution — especially before meeting anyone in person. You assume the risks of interacting with other members.

3.4 You must obey every law that applies to you, including laws on harassment, consent, privacy, obscenity and data protection.

4. Content

4.1 Your content. You own what you submit — photos, profile text and messages ("Your Content"). You are solely responsible for it, and you confirm you have every right needed to share it.

4.2 Your licence to us. You grant WEU a worldwide, non-exclusive, royalty-free, transferable and sub-licensable licence to host, store, reproduce, process, adapt (for example, to resize or re-encode a photo), display and transmit Your Content in order to operate, secure, moderate, improve and provide Magntc — for example, to show your approved photos to members who may see you and to deliver your messages. The licence ends when Your Content is deleted from our systems, except for copies we keep as the Privacy Policy describes or the law requires.

4.3 Other members' content belongs to them, not to us. We do not endorse it and are not responsible for it.

4.4 Moderation. We may — but are not obliged to — review, screen, restrict, remove or refuse any content, using automated tools and human review. We act on valid notices of unlawful content and on orders of a competent court or government authority.

5. What you must not do

You must not, and must not help anyone else to:

5.1 break the Community Guidelines, which set out the content and behaviour not allowed on Magntc;

5.2 use Magntc if you are under 18, or contact, solicit, groom or harm a minor in any way;

5.3 harass, threaten, stalk, intimidate, defame or abuse anyone, or try to locate or follow another member;

5.4 impersonate anyone, misrepresent your identity, age or circumstances, or use another person's photos;

5.5 post sexually explicit material, or share an intimate image of anyone without their consent;

5.6 use Magntc for any commercial purpose, advertising, solicitation, prostitution or escort services, scams, fraud or requests for money;

5.7 interfere with, reverse engineer, decompile, scrape, data-mine, overload or probe the security of Magntc, its Bluetooth functions or its servers; build any tool that collects information about members; or circumvent any security measure, rate limit, block, ban or age requirement;

5.8 access Magntc through any automated means, or through any unofficial or modified version of the apps;

5.9 do anything unlawful, or anything that threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order.

6. Suspension, termination and appeals

6.1 We may restrict, suspend or terminate your account, remove content or limit features, at any time, if we reasonably believe you have broken these Terms or our Guidelines, if the law requires it, or to protect members, the public or WEU.

6.2 Where the law requires it and it is safe to do so, we will tell you what we decided and why. You may appeal by writing to contact@weuinnovations.in. A person who was not involved in the original decision reviews the appeal and replies within 15 days, and may confirm, change or reverse the decision.

6.3 You may stop using Magntc and delete your account at any time from the app.

6.4 Sections 3, 4.2 (for content we lawfully keep), 9, 10, 11, 12, 13 and 15 continue to apply after your account ends.

7. Changes to Magntc and to these Terms

7.1 Magntc changes. We may add, change, suspend or discontinue any feature or part of Magntc at any time, including on particular devices or in particular countries.

7.2 These Terms change. We may update these Terms, the Privacy Policy, and any policy that forms part of them. For a material change we will tell you in the app, or by another reasonable means, before it takes effect. If you keep using Magntc after a change takes effect, you accept it. If you do not accept it, stop using Magntc and delete your account.

8. How Magntc is paid for

8.1 Magntc is free to use today.

8.2 We reserve the right to introduce or change how Magntc is funded at any time, including advertising, subscriptions, paid features, in-app purchases and sponsored content, and to change the price or scope of anything paid. We will tell you before any of these apply to you, and ask for your consent wherever the law requires it — for example, before showing you personalised advertising.

8.3 Purchases made through Apple or Google are also governed by their terms, including their refund rules. Unless the law where you live says otherwise, fees are non-refundable.

9. Disclaimers

9.1 Magntc is provided "as is" and "as available". As far as the law allows, WEU disclaims every warranty, express or implied, including of merchantability, fitness for a particular purpose, title and non-infringement.

9.2 We do not promise outcomes. We do not guarantee that you will meet or match with anyone, or that any member is who they say they are or will behave well.

9.3 Nearby features depend on devices. Finding people nearby, venue check-in, and messages that travel between phones depend on Bluetooth, on your device and its operating system and settings, on other people's devices, and on your surroundings. They may be limited, delayed or unavailable — some phones, for example, restrict Bluetooth while an app is in the background. We do not guarantee that anyone nearby will be found, or that any message will arrive.

9.4 We do not guarantee that Magntc will be uninterrupted, secure or error-free, or that any content will be preserved.

10. Limitation of liability

10.1 As far as the law allows, WEU and its directors, officers, employees and agents are not liable for:

• (a) the conduct, statements, content or actions of any member or third party, online or offline, including any harm arising from a meeting;
• (b) any indirect, incidental, special, consequential, exemplary or punitive damages, or any loss of profit, revenue, data, goodwill or opportunity;
• (c) any loss arising from access to your account or device that our breach of these Terms did not cause.

10.2 As far as the law allows, WEU's total liability for every claim relating to Magntc is limited to the greater of (i) the amount you paid WEU in the twelve months before the claim arose and (ii) INR 5,000.

10.3 What we do not limit. Nothing in these Terms excludes or limits any liability that the law does not allow to be excluded or limited — including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or your statutory rights as a consumer. Where the law allows a limitation only in part, it applies to that extent.

11. Indemnity

As far as the law allows, you will indemnify and hold harmless WEU and its directors, officers, employees and agents against every claim, loss, liability, damage, cost and expense (including reasonable legal fees) arising from Your Content, your use of Magntc, your conduct towards any member or third party online or offline, or your breach of these Terms or of any law.

12. Disputes between members

WEU has no obligation to become involved in disputes between members. As far as the law allows, you release WEU from claims, demands and damages of every kind arising from or connected with any dispute between you and another member. If you live in California, you waive California Civil Code §1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

13. Governing law and disputes

13.1 These Terms are governed by the laws of India.

13.2 Please contact us first at contact@weuinnovations.in — most concerns are resolved that way.

13.3 A dispute not resolved within 30 days will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator, seated in the city of WEU's registered office in India, and conducted in English. Subject to that, the courts of that city have exclusive jurisdiction.

13.4 As far as the law allows, disputes are brought individually, and not as a plaintiff or class member in any class, collective or representative proceeding.

13.5 If you are a consumer in the European Union, the United Kingdom, or another country whose law gives you rights that cannot be waived — such as bringing proceedings in the courts where you live, or the protection of your local law — nothing in this section takes those rights away.

14. Apple and Google

If you downloaded Magntc from the Apple App Store: these Terms are between you and WEU only, not Apple; Apple has no obligation to provide maintenance or support for the app; if the app fails to conform to any applicable warranty you may notify Apple, which may refund any purchase price, and Apple has no other warranty obligation; Apple is not responsible for any claim relating to the app — including product liability, regulatory compliance, consumer protection or third-party intellectual property claims; you confirm that you are not located in a country subject to a U.S. Government embargo or designated by it as "terrorist supporting", and are not on any U.S. Government list of prohibited or restricted parties; and Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Apps downloaded from Google Play are also subject to Google Play's terms.

15. General

15.1 Intermediary. WEU operates Magntc as an intermediary within the meaning of the Information Technology Act, 2000, and corresponding laws elsewhere.

15.2 Entire agreement. These Terms and the documents they incorporate are the entire agreement between you and WEU about Magntc.

15.3 Severability. If any part of these Terms is unenforceable, the rest stays in effect, and that part applies as far as the law allows.

15.4 No waiver. Not enforcing a right is not a waiver of it.

15.5 Assignment. You may not transfer your rights under these Terms. WEU may transfer its rights and obligations, including in a merger, acquisition or sale of assets.

15.6 Events beyond our control. WEU is not liable for any failure or delay caused by events beyond its reasonable control.

15.7 Language. If these Terms are translated, the English version governs as far as the law allows.
